Board of Directors

The current Board of Directors of the Plantation Golf Club are:

President – Tom McCarthy
Vice-President – John Butts
Secretary – Mary Rossi
Treasurer – Dick Penny
Greens Chairperson – Marc Crouch

PRGC Board of Directors Duties and Responsibilities

The duties of the Board of Directors of the PRGC are set forth in Section 7.4 of the By-laws. Section 7/4 states: A director shall perform his duties as a director, including his duties as a member of any committee of the board upon which he may serve, in good faith, in a manner he reasonably believes to be in the best interests of the corporation, and with such care as an ordinarily prudent person in a like position would use under similar circumstances. This charge from the members of the PRGC governs the conduct of the Board and the decisions it makes. The by-laws further direct the Board to choose as officers a president, a vice-president, a secretary, a treasurer, a greens committee chairperson, an operations committee chairperson and a membership chairperson. Many of the specific duties of the officers are set forth in Section 8.1 of the By-laws. Many other tasks which the Board must perform are not assigned to any specific officer in the By-laws. At the present, the assigned responsibilities of the officers are:

Each officer has primary oversight responsibility for each area set forth in the table above. However, in the view of the present Board, every director represents every member of the PRGC, and is equally responsible for every decision made by the Board. In the ordinary conduct of the Board’s business, the specific officer who has primary oversight reports on all matters to the Board and may make recommendations as to how to resolve all issues in the officer’s area. But all decisions are made by the Board as a whole, with each director’s vote carrying equal weight. Although the discussions on many questions can become very vigorous, the Board strives to remain collegial in its discussions, and has found that, in practice, virtually all questions are resolved by a unanimous vote.
